New Ventures Team Member Spotlight: Sean Ganley

Sean is a partner in the firm’s New Ventures practice group. He focuses on representing entrepreneurs, emerging companies, angel investors and venture capital firms. He typically advises company-side clients from formation through funding to exit, and he has extensive experience in complex, venture-style corporate finance matters, mergers and acquisitions, and corporate organization and governance matters.

Sean graduated from John Carroll University in 2004 (B.A.) and 2006 (M.B.A.) and from Case Western Reserve University School of Law in 2009 (J.D.). He loves Ohio and working with companies looking to put the area on the map. Sean also just welcomed his third daughter earlier this year.

Thompson Hine is excited to partner with Zane Venture Fund to sponsor Zane Access’ Capital Readiness Cohort. This premiere capital readiness experience was built to equip underrepresented founders with the skills to navigate the world of capital with confidence. Participants learn technical elements, including terms sheets, deal structures and forecasting to help founders master negotiation and eliminate learning-as-you-go. They also learn to understand how strategic elements, such as pitching, storytelling, personal brand and communication, can help strengthen their financial readiness for potential funding. This four-day intensive course provides founders with networks and mentors to help them champion their story and use their own powerful, unique voice and get financially prepared to scale and grow their business. Delaware LLC and LP Annual Tax Due June 1

Delaware limited liability companies (LLCs) and limited partnerships (LPs) are required to pay an annual tax of $300. These annual taxes are due on or before June 1 of each year. The next payment due date is Thursday June 1, 2023. The penalty for non-payment or late payment is $200. Interest accrues on the tax and penalty at the rate of 1.5% per month.

This is a courtesy reminder of potential obligations your company may have. In order to remain compliant with all applicable tax or registration requirements, companies are encouraged to follow the guidance outlined by Delaware’s Department of State regarding payments and deadlines.
